1. Introduction

Welcome to Advocate Box (the "Platform"), a digital marketplace operated by Keybook A.I - Licensed by Dubai Economic department ("we," "us," or "our") that allows users to buy and sell digital documents (the "Documents"). By accessing or using the Platform, you ("you" or "User") agree to be bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these terms, you may not use the Platform.

2. Definitions

Buyer: A User who purchases a Document on the Platform.
Seller: A User who lists and sells a Document on the Platform.
Document: Any digital file listed for sale on the Platform, including but not limited to templates, forms, contracts, guides, and ebooks.
Platform: The website 'www.advocatebox.com' and any associated mobile applications through which the Services are provided.
Services: The services provided by the Platform, including the listing, purchase, and sale of Documents.

UAE: United Arab Emirated.

3. Account Registration

To use the Platform, you must create an account. You must provide accurate and complete information during registration and keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately of any unauthorized access to or use of your account.

4. Listing Documents,

Pricing & Payments:

Sellers are solely responsible for the accuracy, legality, and quality of the Documents they list.
Sellers must have all necessary rights and permissions to sell the listed Documents.
Sellers must accurately describe the Documents and their contents.
We reserve the right to remove any Document that violates these Terms and Conditions or infringes on the intellectual property rights of others.
Pricing: Sellers have the right to determine the price of their Documents.
Platform Fee: A 30% platform fee will be deducted from each sale.
Seller Earnings: Sellers will receive 70% of the sale price.
Payment: Seller earnings will be transferred within 30 business days from the date of sale.
Sales Reports: Sellers will receive a report of sales along with their payment, detailing the Documents sold and associated earnings.

Important Considerations:

Payment Method: sellers will be paid by bank transfer on the bank account provided to the platform on the registration.
Payment Threshold: Seller earnings will be transferred within 30 business days from the date of sale, provided the accumulated earnings reach a minimum of AED 200 or its equivalent in other currencies.
Currency: currency of transactions is UAE Dirham (AED).
Tax : the TAX law of UAE will be applied.

5. Purchasing Documents

Buyers are responsible for reviewing and understanding the description of a Document before purchasing it.
All sales are final. No refunds will be issued except in cases of fraudulent misrepresentation or as required by law.
Buyers are granted a non-exclusive, non-transferable license to use the purchased Document for personal or internal business purposes.
Buyers should not resell, redistribute, or share the Document with others and the following consideration apply:.

License Grant: Buyers are granted a non-exclusive, non-transferable license to use the purchased Document for personal or internal business purposes only. This license explicitly prohibits:
- Resale: Buyers should not by any means resell the Document in any form, whether as a standalone product or as part of a package or bundle. This prohibition extends to any portion of the Document. Buyers should not extract, copy, or reproduce any part of the Document to resell it separately or as part of another documents.
- Redistribution: Buyers should not distribute the Document to others, either for free or for a fee, including sharing it on websites, file-sharing platforms, or through email or other means.
- Sharing: Buyers should not share the Document with any third party, even within their own organization, unless explicitly permitted by the Seller or by these Terms and Conditions.
Permitted Use: Buyers should use the Document for the following purposes:
- Personal Use: For their own individual needs.
- Internal Business Use: Within their own organization for internal purposes only.
Exceptions: Any use outside the scope of this license requires express written permission from the Seller.

6. Intellectual Property

Sellers retain all intellectual property rights in the Documents they list.
The Platform and its content are protected by copyright and other intellectual property laws.

7. Prohibited Conduct

Users may not use the Platform for any illegal or unauthorized purpose.
Users may not upload or transmit viruses, malware, or other harmful code.
Users may not engage in any activity that disrupts or interferes with the Platform or its servers.
Users may not attempt to gain unauthorized access to the Platform or other users' accounts.

8. Disclaimer of Warranties

The Platform and the Documents are provided "as is" without any warranties of any kind, express or implied.
We do not warrant that the Platform or the Documents will be error-free, uninterrupted, or secure.

9. Limitation of Liability

We will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Platform or the Documents.
Our total liability to you for any claim arising out of or related to these Terms and Conditions will not exceed the amount you paid for the Document in question.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms and Conditions, or your infringement of any intellectual property or other rights of any third party.

11. Dispute Resolution

Any dispute arising out of or related to these Terms and Conditions will be settled through Dubai Court.
12. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of United Arab Emirates.

13. Termination

We may terminate your access to the Platform at any time for any reason.
Upon termination, you will no longer have access to your account or any purchased Documents.

14. Amendments

We may amend these Terms and Conditions at any time by posting the updated terms on the Platform.
Your continued use of the Platform after the posting of any amendments constitutes your acceptance of such amendments.

15. Entire Agreement

These Terms and Conditions constitute the entire agreement between you and us with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
